Last updated: [DATE]. These terms govern your use of the marketplace. By creating an account, buying, or listing an item, you accept them.

1. Who you are contracting with

The marketplace is operated by [LEGAL ENTITY NAME], [ADDRESS] ("we", "us"). When you buy an item you enter into a licence with its author for that item, and a contract with us for the payment, delivery and invoicing of it. We are not the author of the items unless a listing explicitly says so.

2. Accounts

  • You must be at least 18, or have the capacity to contract in your jurisdiction.
  • You are responsible for everything done under your account, so keep your credentials secret. Enable two-factor authentication if you handle money here.
  • One person or entity, one account. Duplicate accounts created to abuse coupons, refunds or referrals may be suspended together.
  • Give us accurate billing details. Your invoice is generated from them and cannot be reissued to a different party after the fact.

3. What you are buying

You are buying a licence to use the item, not ownership of it. The author keeps copyright. What each licence allows is set out in our Licence Policy, which forms part of these terms.

Every purchase is tied to a purchase code recorded against your account. Sharing, selling or publishing that code, or the files it unlocks, is a breach of these terms and may result in the licence being revoked without refund.

4. Payment, currency and tax

  • Prices are shown in [CURRENCY] and are [inclusive / exclusive] of GST as indicated at checkout.
  • Indian buyers are charged CGST + SGST for an intra-state supply and IGST for an inter-state supply, based on the place of supply derived from your billing state.
  • We never store your card details. Payments are processed by our payment partners, who are responsible for the security of the card data you give them.
  • A tax invoice is issued automatically for every completed order and is available from your account permanently.

5. Delivery

Delivery is electronic and immediate on successful payment. Files are served from protected storage through signed links that expire; they are never publicly listed or directly linkable. If a download fails, retry from your account — the link is regenerated each time.

6. Refunds

Because source code cannot be returned once downloaded, refunds are handled under our Refund Policy, which sets out exactly when you are entitled to one and how to ask.

7. Support and updates

Each item states its support period and its update policy. Support is provided by the author, through the ticket system, in [SUPPORT LANGUAGE]. When a support period ends, your licence and your downloads continue unaffected — only the ability to raise new support tickets with that author lapses.

8. Acceptable use

You must not: attempt to access files you have not bought; probe, scan or attack the platform; scrape listings in bulk; upload malware; impersonate another person; or use the marketplace to distribute anything unlawful. Our Marketplace Rules set this out in detail.

9. Availability

We aim to keep the marketplace available continuously but do not guarantee it. We may suspend access for maintenance, or withdraw an item from sale at any time. Withdrawal from sale does not by itself remove your access to something you have already bought — but an item taken down for a malware or copyright finding will stop being downloadable, because continuing to distribute it would be unsafe or unlawful.

10. Liability

Items are provided as-is by their authors. To the fullest extent permitted by law, our aggregate liability to you for any claim relating to an item is limited to the amount you paid for that item in the [TWELVE] months before the claim. We are not liable for indirect or consequential loss, including lost profits or lost data. Nothing here excludes liability that cannot lawfully be excluded.

11. Suspension and termination

We may suspend or close an account that breaches these terms, that we reasonably believe is being used fraudulently, or where we are legally required to. Where money is held in a wallet at closure, we will return the balance owed to you after settling any chargebacks, refunds or disputes outstanding against it.

12. Changes

We may amend these terms. Material changes will be notified in your account or by email before they take effect. Continuing to use the marketplace after that is acceptance. The version that applies to a purchase is the one in force when you made it.

13. Governing law

These terms are governed by the laws of India, and the courts at [CITY], [STATE] have exclusive jurisdiction, without prejudice to any right you have to bring proceedings in your own country of residence where the law gives you that right.
